Terms and Conditions
Effective date: October 31, 2026
These Terms and Conditions (the “Terms”) govern your access to and use of socalcosmetics.com (the “Site”), operated by SoCal Cosmetics (“SoCal Cosmetics”, “we”, “us” or “our”). Please read them carefully.
1. Acceptance of these terms
By accessing or using the Site, or by submitting an inquiry, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Site. If you use the Site on behalf of a company or other organization, you confirm that you are authorized to accept these Terms on its behalf, and “you” includes that organization.
2. Business use and eligibility
The Site presents SoCal Cosmetics’ contract and private-label manufacturing services to businesses. It is not a retail store: no products are sold, paid for or shipped through the Site. You must be at least 18 years old to submit an inquiry.
3. Catalog and product information
Products shown in our catalog are indicative formulation concepts that illustrate what we can manufacture. Descriptions, key ingredients, formats and packaging options are provided for discussion purposes only and may change without notice. They are not specifications, offers to sell, or representations that a particular formulation, ingredient, claim, quantity, price or lead time is available.
Images on the Site are representative. Some are licensed stock photography and some are generated with artificial intelligence for illustration. They do not depict actual SoCal Cosmetics products, packaging or facilities. Ingredient information describes general cosmetic formulation properties and is not medical advice or a therapeutic, clinical or health claim.
4. Inquiries, quotations and agreements
Submitting an inquiry, adding products to an inquiry list, or receiving a response from us does not create an order, a contract, or any obligation for either party. Any quotation we provide is non-binding unless it expressly states otherwise, and is subject to formulation development, testing, availability of materials and packaging, and final agreement.
A manufacturing engagement is created only by a separate written agreement signed by both parties. That agreement will govern specifications, quantities, pricing, lead times, quality standards, intellectual property, and each party’s responsibilities, including responsibility for regulatory compliance, product labeling, claims substantiation, safety assessment and any required registrations or listings. If that agreement conflicts with these Terms, the agreement controls.
You agree that the information you submit is accurate, current and complete, and that you are entitled to share it.
5. Confidential information and your ideas
Please do not submit trade secrets, proprietary formulas or other confidential information through the Site’s forms. If your project requires sharing confidential information, ask us and we will put a mutual non-disclosure agreement in place before detailed discussions.
We do not claim ownership of the product ideas you describe in an inquiry. We will use the information you submit to evaluate and respond to your inquiry, as described in our Privacy Policy. Because we develop and manufacture many products for many brands, you acknowledge that we may independently develop or already be working on products or ideas similar to yours. Our obligations of confidentiality arise only under a signed non-disclosure or manufacturing agreement.
6. Acceptable use
You agree not to:
- use the Site for any unlawful, fraudulent or misleading purpose, or submit false or impersonated information;
- send spam, malware or automated or bulk submissions;
- attempt to gain unauthorized access to, interfere with, overload or disrupt the Site or its systems;
- scrape, copy or harvest content or data from the Site by automated means, except as permitted by robots.txt for search indexing;
- use the Site’s content to create a competing catalog, or present our content or imagery as your own.
We may block access or disregard submissions that violate these Terms.
7. Intellectual property
The Site and its content, including text, catalog descriptions, design, graphics, imagery, and the SoCal Cosmetics name and logo, are owned by or licensed to SoCal Cosmetics and protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to view and use the Site for the purpose of evaluating our services. You may not reproduce, modify, distribute or create derivative works from the Site’s content without our prior written permission. Third-party photography is used under licence.
8. Third-party links and services
The Site may link to, or rely on, third-party websites and services (for example, email delivery providers). We are not responsible for third-party content, products, services or privacy practices, and your use of them is at your own risk and subject to their terms.
9. Disclaimers
THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT PERMITTED BY LAW, SOCAL COSMETICS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND ACCURACY. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE. Warranties relating to manufactured products, if any, are provided only in a signed manufacturing agreement.
10. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, SOCAL COSMETICS AND ITS OWNERS, OFFICERS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). Some jurisdictions do not allow certain limitations, so some of these limitations may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.
11. Indemnification
You agree to indemnify and hold harmless SoCal Cosmetics and its owners, officers, employees and agents from any claims, losses, liabilities and expenses (including reasonable attorneys’ fees) arising from your violation of these Terms, your misuse of the Site, or information you submit that infringes or violates the rights of a third party.
12. Governing law and disputes
These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to the Site or these Terms will be brought exclusively in the state or federal courts located in the State of Wyoming, and you consent to their personal jurisdiction. Before filing a claim, each party agrees to try in good faith to resolve the dispute informally for at least 30 days after written notice. Disputes arising under a manufacturing agreement are governed by that agreement.
13. General
- Changes: we may update these Terms by posting a new version with a new effective date. Continued use of the Site after that date means you accept the updated Terms.
- Severability: if any provision is found unenforceable, the remaining provisions remain in full effect.
- No waiver: our failure to enforce a provision is not a waiver of our right to do so later.
- Assignment: you may not assign these Terms without our consent; we may assign them in connection with a reorganization, merger or sale of our business.
- Entire agreement: these Terms and our Privacy Policy are the entire agreement between you and us regarding the Site, and supersede prior understandings regarding it.
